Job Location: United States : New York : New York Role Value Proposition: The Senior Corporate Governance Legal Assistant will primarily provide the Corporate Secretary s Office with governance support and work across the Legal Affairs Organization on a diverse range of high-level paralegal functions. This associate will be responsible for managing the logistics of subsidiary board of directors and committee meetings, including meeting materials, correspondence, online Board portal, minutes and resolutions. This associate will be responsible for preparing first drafts of minutes and resolutions. The ideal candidate will work independently and as part of a team, possess excellent organizational skills, advanced technical skills, be detail-oriented, possess fine judgment, have strong interpersonal skills, including experience interacting with senior executives, and be self-motivated. Key Responsibilities: * Provide assistance with subsidiary board and committee logistics, including coordinating, preparing and distributing board/committee pre-read materials, meeting agendas, notifications and meeting minutes* Support activities related to board and committee meeting preparation including: drafting memoranda, assembling meeting materials, drafting resolutions, preparing and filing biographical affidavits and maintaining corporate records* Maintain internal and external corporate governance website* Work directly with senior personnel, including attorneys and the Corporate Secretary to gather, review, analyze and distribute board materials and pertinent information* as Act as administrator for the legal entity management database, including access administration and providing training to new users* Maintain corporate books and records, and coordinate reviews for external auditors and regulatory bodies as required* Provide assistance with regulatory filings and special projects across Legal Affairs and work with attorneys across practice areas on as-needed projects* Attend and participate in huddles, events and meetings as required, both with attorneys and other legal assistant teams* Provide updates to senior personnel and management on a regular basis* Review and process various power of attorneys and shareholder proxies for foreign subsidiaries* Essential Business Experience and Technical Skills:Required:* 5-7 years experience in corporate governance* Candidate must be independent, proactive, self-motivated with excellent organizational skills and possess the ability to work under pressure, manage priorities, handle multiple tasks with frequent tight deadlines, work well in team environments, and be productive when working independently with minimal supervision. * Proficient in Word, Excel, PowerPoint, GEMS, BoardVantage, SharePoint, Outlook, Workshare Compare, Westlaw* Proven ability to learn new skills and systems quickly and teach others as necessary* Self-starter, with strong individual and project management skills, able to work well both independently and in a team environment* Ability to work effectively and professionally under tight deadlines and pressure* Strong oral and written communication skills TravelNone Business CategoryLegal Affairs Number of Openings1 At MetLife, we re leading the global transformation of an industry we ve long defined.
