The Vice President, Transactional Risk Underwriter will Underwrite Buy-Side Representations and Warranties Insurance for Global Financial and Strategic Buyers acquiring North American Targets in most industry segments. Underwriting will occur on deal time and underwriting decisions will be made in a commercial fashion while maintaining underwriting discipline.

Overall responsibilities will include the following:

* Review Submissions, Prepare Indications and Win Contracts

* Execute Expense Agreements and Non-Reliance Letters

* Clear Conflicts and Retain Counsel

* Identify issues in transaction documents, Review Diligence Reports and Identify Exclusions

* Manage Underwriting Calls

* Negotiate Coverage Terms and Conditions

* Issue Binders and Policies


Our ideal candidate will have the following:

Job Experience

* Job Experience

* 3+ years of experience as an Representations and Warranties (\"R&W\") Underwriter; or

* 3+ years of experience as an R&W Broker; or

* 5+ years of experience as an M&A lawyer


* Strong interpersonal skills and emotional intelligence


* Strong interpersonal skills and emotional intelligence

* Ability and willingness to develop strong relationships with brokers, buyers and counsel

* Ability and willingness to execute multiple transactions on deal time

* Strong understanding of the mechanics of transaction documents and insurance policies

* Ability to understand business and assess risk


* Bachelor's Degree

* Juris Doctor
